TVS Motor Company has informed stock exchanges that its financial services subsidiaries have approved a composite scheme of amalgamation. The plan involves TVS Housing Finance Private Limited, Home Credit India Finance Private Limited and STPL Trading and Services Private Limited. The boards of all entities involved approved the scheme on 5 August 2026. TVS Motor received intimation of the approval at 3:01 PM IST on the same day. The stated objective is to simplify the group’s financial services structure and enhance operating synergies. The transaction remains subject to several statutory, regulatory and stakeholder approvals. TVS Motor has clarified that it is not a party to the scheme and that its listed-company shareholding pattern will not change.

Two-stage amalgamation structure
The composite scheme has been designed as a two-stage transaction under Sections 230 to 232 of the Companies Act, 2013. In the first stage, STPL Trading and Services Private Limited will merge into Home Credit India Finance Private Limited. Home Credit India Finance is described as Transferee Company 1 in this stage. It will then become Transferor Company 2 for the next stage of the arrangement. In the second stage, the enlarged Home Credit India Finance entity and TVS Housing Finance will merge into TVS Credit Services. TVS Credit Services will be the final surviving company. The structure will therefore consolidate the businesses of the four entities into a single lending platform. All companies involved in the arrangement are under common control.
Companies involved in the proposal
STPL Trading and Services is identified as Transferor Company 1 under the scheme. Home Credit India Finance has a dual role as the initial transferee and the subsequent transferor company. TVS Housing Finance is identified as Transferor Company 3. TVS Credit Services is the second-stage transferee company and the entity that will continue after the proposed amalgamations. TVS Credit Services is a direct subsidiary of TVS Motor. Home Credit India Finance is a subsidiary of TVS Holdings. TVS Housing Finance is a wholly owned subsidiary of TVS Credit Services. As a result, no shares will be issued for the merger of TVS Housing Finance into TVS Credit Services.
Provisional share exchange ratios
The scheme sets out provisional exchange ratios for the two transactions where shares are relevant. For the merger of STPL Trading into Home Credit India Finance, shareholders of STPL would receive 155.79 equity shares of Home Credit for every 200 equity shares held. For the second-stage merger, shareholders of Home Credit India Finance would receive 9.94 equity shares of TVS Credit Services for every 180 equity shares held. The disclosed ratios are based on estimated values as of 31 March 2027. An independent valuer will update the ratios closer to the effective date of the scheme. This means the final exchange ratios may differ from the current provisional figures. The transaction has been described as a related-party transaction conducted at arm’s length on the basis of an independent valuation.
Key transaction details
Regulatory approvals remain pending
The scheme cannot take effect until it receives the required regulatory and statutory clearances. Approvals are required from the Reserve Bank of India, reflecting the regulated nature of the lending businesses. The Competition Commission of India must also clear the transaction. The process additionally requires approvals from the National Stock Exchange of India and the Securities and Exchange Board of India. The jurisdictional National Company Law Tribunal must sanction the arrangement. Shareholder and creditor approvals will also be needed where applicable. These conditions mean the merger remains a proposal despite the board approvals already announced. Crisil Ratings has said the scheme is expected to be completed by May 2027 at the latest.

Why TVS is consolidating lending operations
The stated rationale is to simplify the group structure and strengthen the group’s NBFC platforms through consolidation. Combining the entities under TVS Credit Services would create a streamlined financial services structure within the broader TVS group. Crisil Ratings said the arrangement aligns with evolving RBI expectations on group-level regulation of NBFCs. The transaction brings Home Credit India Finance and TVS Housing Finance into the same surviving entity as TVS Credit Services. The proposal follows a period of increased attention on governance, ownership and group-level structures within financial services businesses. The disclosed scheme does not set out future financial targets or projections for the combined entity. Its significance lies in the intended consolidation of lending operations rather than any announced change to TVS Motor’s core automotive business.
Recent change in TVS Credit ownership
The restructuring announcement followed TVS Motor’s acquisition of an additional 4.39% stake in TVS Credit Services from Lucas-TVS. TVS Motor paid ₹711 crore for that stake purchase. Following the transaction, its holding in the NBFC increased to 85.15%. Crisil Ratings expects TVS Motor to retain a majority stake in the resultant amalgamated entity after the share swaps. TVS Holdings is expected to become a minority shareholder in the combined entity, according to the rating agency. These ownership details are relevant because Home Credit India Finance is a TVS Holdings subsidiary while TVS Credit is majorly held by TVS Motor. The consolidation therefore brings businesses held across the wider group structure into one platform. The final ownership outcome will depend on the effective share-swap ratios at completion.
What it means for TVS Motor shareholders
TVS Motor has explicitly said that it is not a party to the composite amalgamation scheme. Consequently, the proposal will not alter the shareholding pattern of TVS Motor Company Limited. The listed parent’s shareholders are not being asked to exchange TVS Motor shares under the disclosed arrangement. The restructuring instead concerns subsidiaries and other entities under common control. Investors may monitor the regulatory approval process and the final valuation-led exchange ratios because of TVS Motor’s majority interest in TVS Credit Services. The company’s recent increase in its TVS Credit stake also provides context for its position in the proposed surviving entity. However, the announcement does not disclose a change in TVS Motor’s own equity capital or shareholder structure. The next formal developments will depend on approvals from regulators, the tribunal, shareholders and creditors.
Conclusion
The proposed amalgamation would place Home Credit India Finance, TVS Housing Finance and STPL Trading within TVS Credit Services through a two-stage process. It is intended to simplify the TVS group’s financial services structure while retaining TVS Motor’s majority position in the resulting entity. The scheme has board approval but remains subject to RBI, CCI, SEBI, NSE, NCLT and stakeholder clearances. TVS Motor’s own shareholding pattern will remain unchanged under the proposal. The independently updated exchange ratios and the regulatory approval timeline will be the key items to track ahead of the expected completion deadline of May 2027.
