What is VANS asking shareholders to approve?
VANS is asking members to pass a special resolution allowing its Board to provide Infowin with loans, guarantees and/or security of up to Rs 10 crore. The resolution will be considered at VANS’s fourth Extraordinary General Meeting, scheduled for December 4, 2026 at 1:00 p.m. Indian Standard Time through video conferencing or other audio-visual means.
The proposed ceiling covers the aggregate amount of loans advanced, guarantees given and security provided that remains outstanding at any point in time. It is not described as a single Rs 10 crore loan or an immediate cash payment, and VANS may use the authority in one or more tranches.
The resolution would allow VANS to make loans, including loans represented by book debt, and to support Infowin’s existing or future loans and credit facilities through guarantees or security. The Board, or a committee permitted by law, would be authorised to negotiate terms, execute documents and delegate powers needed to implement an approved arrangement.
Why does VANS need a special resolution for Infowin support?
VANS requires a special resolution because Infowin is a subsidiary in which four VANS directors are interested as directors. The notice identifies Viraj Bansal, Pooja Bansal, Nitin Jain and Balakrishnan Srinivasan as directors of both VANS and Infowin, placing the proposed arrangement within the Section 185 process under the Companies Act, 2013.
The filing describes Infowin as a subsidiary that is not wholly owned by VANS. Under Section 185(2), shareholder approval is required for a company to advance loans, issue guarantees or provide security in connection with borrowings of a person in whom its directors are interested, with the borrowing entity required to use the funds for its principal business activities.
VANS states that the Audit Committee and Board approved the proposal on November 5, 2026 before referring it to shareholders. The Board has recommended that members approve the special resolution, while the notice identifies the four common directors as interested because of their Infowin directorships.
The explanatory statement additionally identifies Sakthi, wife of Balakrishnan Srinivasan, and Priyanka, his daughter, as concerned or interested in the resolution, alongside the four directors. It says no other directors, key managerial personnel or their relatives are concerned or interested, except to the extent of any directorship or shareholding in Infowin.
What can the Rs 10 crore support be used for?
VANS says the Rs 10 crore authority may be used only for Infowin’s principal business activities, with working capital and corporate requirements listed as the proposed end use. The restriction applies to each form of assistance, whether VANS advances a loan directly or backs Infowin’s borrowing through a guarantee or security.
The filing does not allocate the Rs 10 crore ceiling between direct loans, guarantees and security. A direct loan would create an amount due from Infowin to VANS, whereas a guarantee or security would support Infowin’s credit facility; the eventual mix, timing and amount of each mechanism have not been disclosed.
For loans, VANS says the interest rate will not be lower than the prevailing yield on the one-year, three-year, five-year or 10-year Government Security closest to the loan tenor. The notice does not disclose a fixed rate, individual maturity, repayment schedule, expected drawdown or the amount of any support that may be committed after the December 4 vote.
VANS presents increased business opportunities, revenue growth, market presence and long-term competitiveness as its commercial rationale for supporting Infowin. These are the company’s stated potential benefits, rather than reported outcomes, as the filing provides no forecast of revenue, borrowing, repayment or return from the proposed Rs 10 crore authority.

What has VANS disclosed about Infowin’s business and finances?
Infowin is a private company incorporated on November 20, 2024 and operates in India, according to VANS’s disclosure. Its stated business is manufacturing and supplying Ring Main Units, or RMUs, and Vacuum Bottles for the power infrastructure sector.
Infowin reported nil turnover for the half year ended September 30, 2026, and VANS also disclosed nil turnover for Infowin in both financial years 2025-26 and 2024-25. Its reserves and surplus stood at negative Rs 60,327 as of September 30, 2026, while its paid-up share capital was Rs 2 lakh.
The nil turnover reported for the September 2026 half year is unchanged from the two preceding financial years disclosed in the filing. Against that financial background, the EGM notice does not provide an estimate of Infowin’s working-capital requirement or identify any lender, credit facility or existing VANS exposure that would use the proposed Rs 10 crore limit.
When will shareholders decide and what could happen next?
Shareholders will vote at the virtual EGM on December 4, 2026 at 1:00 p.m. Indian Standard Time. National Securities Depository Limited, or NSDL, will provide the video-conferencing and e-voting system, and the meeting-entry facility will open 30 minutes before the scheduled start time.
MMA & Partners, Practising Company Secretaries, represented by partner Sukhmendra Kumar, has been appointed to scrutinise the e-voting process. VANS says members attending through video conferencing or other audio-visual means will count towards quorum under Section 103 of the Companies Act, 2013.
Separately, VANS disclosed a proposed equity investment intended to increase its Infowin holding from 67% to 80%. The proposed investment would be made in cash at the Rs 10 face value per Infowin equity share and is expected to be completed within four months from the Board’s November 5, 2026 approval, subject to required approvals.
The proposed equity investment and the Rs 10 crore financial-support resolution are disclosed as separate matters. The first concerns an increase in VANS’s ownership from 67% to 80%, while the EGM item seeks authority for loans, guarantees and security up to an aggregate outstanding limit of Rs 10 crore.
Conclusion
The proposed resolution would give VANS a defined framework to support Infowin’s working-capital and corporate requirements through direct and contingent financing mechanisms. The Rs 10 crore cap applies across loans, guarantees and security outstanding at one time, while Infowin’s disclosed nil turnover in the September 2026 half year and the previous two financial years provides the reported financial context.
The immediate event to watch is the December 4, 2026 EGM vote. If shareholders approve the resolution, the next material points would be any Board decision on tranche size, instrument, interest rate, tenor and end use, alongside progress on VANS’s separate plan to raise its Infowin holding from 67% to 80% within four months of November 5, 2026.
