What did EFC pay to acquire Ultrafresh?
EFC paid Rs 54 crore to acquire 100% of Ultrafresh through a share swap, issuing 19,99,996 shares at Rs 270 per share. The presentation describes the consideration as delivering full ownership and control of Ultrafresh, which was previously a 51% subsidiary of TTK Prestige Limited.
The transaction uses equity consideration rather than a cash payment disclosed in the presentation. The stated issue price and share count are the mechanism for the Rs 54 crore acquisition consideration, while the presentation does not disclose an acquisition date, purchase-price allocation, or details of Ultrafresh’s assets and liabilities.
The acquisition comes alongside EFC’s reported H1 FY27 growth. Consolidated revenue reached Rs 615 crore in H1 FY27, up 30% from Rs 474 crore in H1 FY26, while profit after tax, or PAT, increased 43% to Rs 148 crore from Rs 103 crore. These are consolidated EFC figures and are not presented as Ultrafresh’s post-acquisition contribution.
What business platform has EFC acquired with Ultrafresh?
EFC acquired a modular-home platform selling kitchens, wardrobes, television and bar units, storage products and customised modular furniture. Ultrafresh’s operating model combines factory-made products with on-site installation, supported by design capability focused on functionality, customisation and space utilisation.
The platform includes an owned factory at Nalagarh, Himachal Pradesh. EFC says the combination brings its manufacturing and Design & Build platform together with Ultrafresh’s brand, design, distribution and execution ecosystem, while the integrated supply-and-installation model reduces hand-offs across the customer journey.
Ultrafresh also adds more than 150 studios or experience touchpoints across India, along with a stated base of more than 2 lakh customers. The brand has more than 25 years of industry presence, giving EFC a consumer-facing modular-furniture network as well as manufacturing capacity.
How did Ultrafresh’s turnover change before the acquisition?
Ultrafresh’s turnover rose to Rs 36.3 crore in FY26 from Rs 32.5 crore in FY25, representing year-on-year growth of about 11.8%. Turnover was Rs 31.2 crore in FY24, meaning the business added Rs 5.1 crore of annual turnover across the two financial years shown in EFC’s presentation.
Across FY24 to FY26, Ultrafresh’s turnover recorded an approximately 7.9% compound annual growth rate, or CAGR. The increase accelerated from Rs 1.3 crore between FY24 and FY25 to Rs 3.8 crore between FY25 and FY26, based on the turnover figures disclosed by EFC.
EFC characterises the transaction as the purchase of a broader operating platform rather than Rs 36.3 crore of FY26 turnover alone. It identifies the modular-home brand, Nalagarh manufacturing capability, design and execution functions, and nationwide market access as transaction components.

How does Ultrafresh fit EFC’s furniture business?
Ultrafresh extends EFC’s furniture offering into modular-home products and adds a North India manufacturing and brand footprint. EFC calls the acquisition a complementary bolt-on for its furniture manufacturing footprint and Design & Build platform, with the Nalagarh factory providing the specifically identified North India manufacturing presence.
EFC’s furniture segment generated Rs 35 crore of revenue in Q2 FY27, up 149% year on year, and Rs 63 crore in H1 FY27, up 137% year on year. Leasing generated Rs 168 crore in Q2 FY27 and Design & Build generated Rs 129 crore, so furniture was the smallest of the three reported segments in that quarter but had the highest reported growth rate.
Management identifies better use of EFC manufacturing capacity and Ultrafresh’s Nalagarh footprint, combined sourcing and vendor relationships, logistics scale, and shared design, manufacturing and support infrastructure as the planned operating mechanisms. The presentation does not disclose quantified cost savings, revenue synergies, or a target date for these measures.
What should investors watch after EFC’s Ultrafresh acquisition?
The disclosed areas to watch are integration of sourcing, manufacturing and installation across Ultrafresh’s more than 150 touchpoints and Nalagarh factory. EFC identifies procurement and supply-chain integration, manufacturing optimisation and operating leverage as intended benefits, but it provides no timetable, synergy target or separate post-acquisition forecast.
The relative scale of the furniture segment is also relevant to tracking the acquisition. In H1 FY27, furniture revenue was Rs 63 crore, compared with Rs 321 crore for leasing and Rs 230 crore for Design & Build, while Ultrafresh’s latest disclosed turnover was Rs 36.3 crore in FY26.
EFC reported H1 FY27 earnings before interest, tax, depreciation and amortisation, or EBITDA, of Rs 257 crore, up 21% from Rs 213 crore in H1 FY26. Its return on capital employed, or ROCE, was 16% in H1 FY27 versus 14% in H1 FY26, although the presentation does not isolate any effect from Ultrafresh or the share issuance.
Conclusion
The Rs 54 crore all-share acquisition gives EFC full control of a modular-home operating platform that combines products, factory manufacturing, site installation, design and a national studio network. Ultrafresh brings FY26 turnover of Rs 36.3 crore and more than 150 touchpoints into an EFC furniture segment that reported Rs 63 crore of H1 FY27 revenue.
The next disclosed issue is execution of EFC’s plans for shared design, sourcing, manufacturing, logistics and support infrastructure as volumes scale. Management has outlined manufacturing optimisation, procurement integration and operating leverage, but has not disclosed a synergy value, delivery timetable or updated Ultrafresh turnover outlook after issuing 19,99,996 shares.
