Why does Fortis Malar have no operating business?
Fortis Malar ceased to have business operations after selling the Malar Hospital business as a going concern on a slump-sale basis. The company entered into a Business Transfer Agreement with MGM Healthcare Private Limited during the year ended March 31, 2024, and Note 7 to its September 30, 2026 results says it no longer has any business operations after that transaction.
The September 30, 2026 filing does not identify a new hospital activity, acquisition or other replacement business. The group continues to describe healthcare services as its only reportable segment under Indian Accounting Standard 108, or Ind AS 108, but this disclosure is qualified by Note 7, which says Fortis Malar has ceased operations after the business transfer.
B S R & Co. LLP drew attention to this situation in its limited review report dated November 3, 2026. The auditor said Fortis Malar had no visibility of commencing any new business operations in the future, while leaving its review conclusion unmodified for the unaudited standalone results for the quarter and six months ended September 30, 2026.
The balance sheet reflects a residual corporate entity rather than a disclosed operating business. Standalone total assets were Rs 36.6410 crore at September 30, 2026, down from Rs 36.9686 crore at March 31, 2026, while standalone total equity increased to Rs 34.4763 crore from Rs 34.1667 crore over the same six-month period.
What restructuring plan is Fortis Malar considering?
Fortis Malar is evaluating various corporate restructuring options and is progressing with finalisation of a plan, but it has not disclosed the selected option or a timetable. Management and the board are undertaking the evaluation with legal advisers and merchant bankers, according to Note 7 approved by the board on November 3, 2026.
The filing is a process update rather than an announcement of a completed restructuring. It says there is no visibility of starting a new business, so the company has not disclosed a sector, asset purchase, merger, capital action or operating plan that would replace the Malar Hospital business sold under the 2024 agreement.
Fortis Malar has nonetheless prepared its September 2026 standalone and consolidated results on a going-concern basis. Management bases that assessment on the current cash position and projected cash flows being sufficient to meet financial requirements for the foreseeable future, rather than on revenue from a new business or an announced transaction.
The consolidated accounts include subsidiary Fortis Healthcare Research Foundation, formerly Malar Stars Medicare Limited. Fortis Malar's standalone investment in the subsidiary was Rs 5 lakh at both September 30, 2026 and March 31, 2026, while consolidated total assets were Rs 37.1441 crore at September 30, 2026.

How much liquidity does Fortis Malar report?
Fortis Malar says Rs 34.2639 crore of cash, cash equivalents and other bank balances would be sufficient to settle obligations as they fall due. This is management's stated liquidity measure in Note 7 and is the basis cited for its view that the company can meet foreseeable financial requirements.
The standalone balance sheet separately showed Rs 13.11 lakh of cash and cash equivalents and Rs 35.8851 crore of bank balances other than cash equivalents at September 30, 2026. At March 31, 2026, the corresponding balances were Rs 85.18 lakh and Rs 23.4136 crore, respectively, showing a shift from cash equivalents into other bank balances.
Standalone current liabilities declined by Rs 63.72 lakh during the six months to September 30, 2026. Other financial liabilities fell to Rs 1.8579 crore from Rs 2.3883 crore, while trade payables due to creditors other than micro and small enterprises were Rs 27.61 lakh at September 30, 2026.
Management also disclosed medico-legal claims of about Rs 6.4940 crore, value-added tax appeal demands of about Rs 2.5493 crore, goods and services tax appeal demands of about Rs 22.23 lakh, and income-tax appeal demands of about Rs 1.9883 crore. It said these matters are contested, the disclosure is not an admission of liability or breach, and potential financial exposure is assessed by management as remote.
What do Fortis Malar's results and cash flows show?
Fortis Malar reported standalone profit before tax of Rs 38.75 lakh for the six months ended September 30, 2026, compared with Rs 4.4588 crore in the corresponding 2025 period. The comparative period included a Rs 4.0820 crore reversal of an earlier minimum-wage provision, recognised as other income in the quarter ended June 30, 2025.
The Government of Tamil Nadu issued a minimum-wage notification on June 11, 2025, which led Fortis Malar to reverse the Rs 4.0820 crore provision in the June 2025 quarter. That one-off reversal explains a significant part of the difference between the six-month profit before tax figures for September 2026 and September 2025.
Net cash used in standalone operating activities rose to Rs 1.4889 crore in the six months ended September 30, 2026 from Rs 70.56 lakh a year earlier. Cash used in operations was Rs 1.38 crore before net income-tax payments of Rs 10.89 lakh, and the operating cash flow included a Rs 56.12 lakh decrease in other liabilities and financial liabilities.
Investing activities generated Rs 76.82 lakh in the 2026 six-month period, against Rs 81 lakh in the comparable period of 2025. Fortis Malar received Rs 1.3999 crore of interest during the 2026 period and reported Rs 1.0903 crore of interest income in the cash-flow reconciliation, indicating that financial balances remain a disclosed source of income while no new operating business has been identified.
Conclusion
Fortis Malar's September 2026 filing describes a company without an operating business and without visibility on a replacement following the slump sale of Malar Hospital. Management is relying on its stated Rs 34.2639 crore liquidity measure and projected cash flows to support the going-concern basis, while six-month profit before tax fell to Rs 38.75 lakh from Rs 4.4588 crore after the prior-year provision reversal.
The next disclosed development is finalisation of the restructuring plan being evaluated with legal advisers and merchant bankers. Readers can watch for disclosure of the selected restructuring option, changes in cash and bank balances after September 30, 2026, and progress in the contested medico-legal and tax matters with stated claims or demands across four categories.
