Why did HCL Infosystems’ half-year loss rise to Rs 31.62 crore?
HCL Infosystems recorded a consolidated net loss of Rs 31.62 crore for the six months ended September 30, 2026, compared with Rs 10 crore in the corresponding 2025 period. Loss before exceptional items and tax was also Rs 31.62 crore, compared with Rs 10 crore a year earlier, and the Group reported no exceptional items in either half-year period.
Revenue from operations declined to Rs 8.31 crore from Rs 12.10 crore, while other income fell to Rs 6.89 crore from Rs 17.73 crore. Total income consequently declined to Rs 15.20 crore from Rs 29.83 crore, even as total expenses rose to Rs 46.82 crore from Rs 39.83 crore. Finance cost increased to Rs 13.17 crore from Rs 1 lakh, reflecting interest recognised on promoter-group non-convertible debentures.
The September-quarter loss was Rs 14.94 crore, compared with Rs 5.50 crore in the quarter ended September 30, 2025, although it was lower than the Rs 16.68 crore loss in the preceding June 2026 quarter. September-quarter revenue was Rs 4.13 crore, below Rs 5.07 crore a year earlier and Rs 4.18 crore in June 2026.
What did the auditor say about HCL Infosystems’ going concern?
B S R & Associates LLP said a material uncertainty exists that may cast significant doubt on HCL Infosystems’ ability to continue as a going concern. Its limited review report cited continuous losses over several years, fully eroded net worth and current liabilities exceeding current assets by Rs 489.11 crore at September 30, 2026.
The current-liability gap increased by Rs 5.42 crore from Rs 483.69 crore at March 31, 2026. Consolidated current liabilities were Rs 740.59 crore against current assets of Rs 251.48 crore, while total equity was negative Rs 328.02 crore at September 30, 2026, compared with negative Rs 296.57 crore at March 31, 2026.
The auditor did not modify its review conclusion in respect of this matter. It also noted that two unreviewed subsidiaries had total assets of Rs 5.80 crore before consolidation adjustments, revenue of Rs 3.53 lakh and a combined net loss of Rs 7.46 lakh for the six months ended September 30, 2026; management said those results were not material to the Group.
What is causing HCL Infosystems’ financial pressure?
HCL Infosystems attributed the losses to delayed receipts from certain system-integration contracts, historical low-margin contracts, and litigation and related costs. The filing says customer acceptance and sign-offs for completed projects have been delayed, and there has been no significant progress in recovering outstanding receivables even though most contracts have reached maturity.
The contracts were transferred in 2013 to HCL Infotech Limited under a Delhi High Court-approved Scheme of Arrangement, with some ongoing terms extending to 2031. HCL Infosystems said it has a constructive obligation to provide operational and financial support to HCL Infotech because the contracts were originally assigned to the parent, and the Group has initiated arbitration proceedings against several customers to recover dues.
HCL Infotech had received Rs 175.93 crore against equivalent bank guarantees on these contracts by September 30, 2026. The amount has not been used to redeem optionally convertible debentures because counterparties’ appeals remain pending before the High Court; it is reported as an amount collected under litigation in HCL Infotech’s other current liabilities.

How is promoter support funding HCL Infosystems?
HCL Infosystems disclosed authorised promoter-support limits of Rs 2,000 crore for the company and its subsidiaries. HCL Corporation Private Limited had utilised Rs 119.60 crore from its Rs 500 crore authorised limit, while HCL Capital Private Limited had utilised Rs 464.01 crore from its Rs 1,500 crore limit at September 30, 2026.
The support may take the form of loans, inter-corporate deposits, advances, unsecured non-convertible debentures, guarantees, corporate guarantees, security or liens on fixed deposits. Shareholders approved both arrangements on September 16, 2026, and management and the board said the support gives them a reasonable expectation that the Group can realise assets and meet obligations falling due in the near future.
During the year ended March 31, 2026, HCL Infosystems issued Rs 355 crore of unlisted, unsecured redeemable non-convertible debentures to HCL Capital. The debentures have a 0.001% contractual coupon and a 10-year tenure, but are classified as current liabilities because the holder may demand repayment after 12 months and five days from the pay-in date. The effective interest rate method produced Rs 13.17 crore of finance cost in the six months ended September 30, 2026, using an 8% annual rate.
What recoveries could affect HCL Infosystems’ reported position?
HCL Infosystems has not recognised the financial impact of a Rs 102.81 crore arbitration award related to a Unique Identification Authority of India contract, including Rs 33.79 crore of interest. The award covered claims relating to deductions, additional costs and the market value of services rendered during the extended contract period from August 7, 2019, to August 6, 2021.
Both parties have challenged the award before the Delhi High Court, and HCL Infosystems said it will recognise the financial impact only once the award attains finality. The filing does not provide a timetable for the court process or state how much, if any, of the award may become available for Group obligations.
Consolidated operating activities used Rs 7.08 crore of cash in the six months ended September 30, 2026, compared with an outflow of Rs 14.48 crore a year earlier. Investing activities generated Rs 14.78 crore, including mutual-fund redemptions, and cash and cash equivalents ended the period at Rs 17.26 crore, compared with Rs 9.27 crore at March 31, 2026.
Conclusion
HCL Infosystems’ September half-year results show a wider consolidated loss as revenue from operations and other income declined while finance costs rose. The Rs 489.11 crore excess of current liabilities over current assets, negative equity of Rs 328.02 crore and the auditor’s material-uncertainty statement place the Group’s continuation alongside its reliance on promoter support and contract recoveries.
What to watch next is progress in arbitration and customer recoveries involving HCL Infotech contracts, including the pending court challenges to the Rs 102.81 crore UIDAI award. The filing identifies remaining contract terms up to 2031 and Rs 583.61 crore of utilised support across the two promoter arrangements as factors relevant to meeting near-term obligations.
