Why did NHL transfer the Katra hospital business?
NHL transferred the undertaking under a Business Transition Agreement dated 25 March 2026, with the handover taking effect on 1 April 2026. Narayana Vaishno Devi Specialty Hospitals Private Limited, or NVDSHPL, a wholly owned NHL subsidiary, had run the hospital until the closing hours of 31 March 2026.
The transferred facility is Shri Mata Vaishno Devi Narayana Superspeciality Hospital at Kakryal near Katra in Jammu. The filing says it served patients across more than 20 specialties, including radiology, obstetrics and gynaecology, and oncology. It does not state the transfer consideration, bed count, patient volumes or the detailed commercial terms of the Business Transition Agreement.
NHL also cited a Management Agreement dated 28 March 2025 in setting out the operating arrangement. Under the applicable agreements, NVDSHPL continues to provide management and consultancy support after the transfer. The disclosed structure means NHL has retained a contractual support role but no longer has ownership, operations or control of the Katra hospital from 1 April 2026.
Who owns and operates NHL's former Katra hospital now?
Shri Mata Vaishno Devi Charitable Society owns, operates and controls the hospital from 1 April 2026. The undertaking moved to the society on a going-concern basis, rather than the filing describing a cessation of hospital services.
NVDSHPL remains an NHL subsidiary, but its former hospital undertaking is outside NHL's continuing operations. Its post-transfer role is limited in the disclosure to management and consultancy support under the applicable agreements. NHL did not disclose a separate revenue figure for that support activity in the quarter ended 30 September 2026.
The change is visible in the comparative discontinued-operations figures. In the quarter ended 30 September 2025, when NVDSHPL still ran the facility, the business generated Rs 39.427 crore in revenue from operations. In the quarter ended 30 September 2026, following the 1 April transfer, the discontinued-operations table reports no income or expenses.
How did the Katra transfer affect NHL's financial results?
NHL reports the former Katra undertaking as discontinued operations, separately from its continuing medical and healthcare services and insurance activities. The discontinued business generated Rs 75.363 crore in operating revenue and Rs 0.862 crore in profit after tax in the six months ended 30 September 2025, but reported no income or profit in the corresponding six months of 2026.
For the year ended 31 March 2026, the last full financial year before the transfer's effective date, the former business recorded Rs 137.737 crore of revenue from operations and Rs 1.726 crore of profit after tax. Earnings before depreciation, amortisation, finance costs and exceptional items were Rs 4.814 crore for that year, compared with Rs 1.810 crore in the six months ended 30 September 2025.
The zero contribution in the September 2026 quarter and six-month period reflects the change in ownership and control from 1 April 2026, not a stated change in hospital demand. NHL's consolidated results still include NVDSHPL among subsidiaries, while the former hospital undertaking's historical results are shown outside continuing operations.

What write-down did NHL record for the Katra transfer?
NHL wrote down Rs 6.206 crore in the year ended 31 March 2025 after comparing the carrying value of assets and liabilities to be transferred with their recoverable value. The filing links that assessment to the Management Agreement.
The disclosure does not break down the Rs 6.206 crore by asset class, such as medical equipment, property or receivables. It also does not state whether a further valuation adjustment was made after the 1 April 2026 transfer, although it records the transfer as a going-concern business transition.
The discontinued-operations table separately includes an exceptional item of negative Rs 0.585 crore for the year ended 31 March 2026. It shows no exceptional item for either the quarter or six months ended 30 September 2025. NHL does not identify the annual exceptional item as the Rs 6.206 crore write-down, so the filing does not support treating the two amounts as the same item.
How do NHL's continuing operations compare after the transfer?
NHL's continuing operations generated Rs 2,843.989 crore of revenue from operations in the quarter ended 30 September 2026, compared with Rs 1,643.790 crore a year earlier. Profit after tax from continuing operations was Rs 301.153 crore, compared with Rs 258.289 crore in the quarter ended 30 September 2025.
For the six months ended 30 September 2026, continuing-operations revenue was Rs 5,527.623 crore, against Rs 3,151.059 crore in the prior-year period. Profit after tax from continuing operations rose to Rs 508.423 crore from Rs 454.340 crore. Those figures exclude the Katra business because NHL classifies it as discontinued operations.
NHL reports medical and healthcare related services and others, its insurance segment, as operating segments. Medical and healthcare related services recorded Rs 2,686.432 crore of segment revenue in the September 2026 quarter, while others recorded Rs 173.895 crore before inter-segment revenue elimination. The segment disclosure includes continuing and discontinued operations, so it does not establish a standalone post-transfer Katra contribution.
Conclusion
The transfer places ownership, operations and control of the Katra hospital with Shri Mata Vaishno Devi Charitable Society from 1 April 2026, while NHL remains involved through NVDSHPL's management and consultancy support. The accounting effect is a separation of the hospital from continuing operations, after the undertaking produced Rs 137.737 crore of operating revenue in the year ended 31 March 2026.
What to watch next is whether NHL separately quantifies revenue or other financial effects from NVDSHPL's retained management and consultancy role. The results for the quarter ended 30 September 2026 did not disclose that contribution, the transaction consideration or any further valuation adjustment after the Rs 6.206 crore write-down.
