What did the tribunal order for the S A Tech merger?
The National Company Law Tribunal, Mumbai Bench, Court-V directed S A Tech and Mindpool to convene separate equity-shareholder meetings within 90 days from receiving its order delivered on November 3, 2026. S A Tech said it received the order on November 4, 2026, following the disposal of Company Scheme Application C.A.(CAA)/158(MB)/2026.
The meetings will consider the scheme to amalgamate Mindpool, the transferor company, into S A Tech, the transferee company, under Sections 230 to 232 of the Companies Act, 2013. Both meetings are to be held at Poloroche Business Avenue in Viman Nagar, Pune, with an option for video conferencing or other audio-visual participation. The order also permits e-voting, remote e-voting or postal-ballot voting where applicable.
Ms. Smita Srivastava, described in the order as Ex-IRS, has been appointed chairperson for both meetings at remuneration of Rs 75,000 plus out-of-pocket expenses. CS Sunil Nanal, a practising company secretary with membership number 5977, has been appointed scrutinizer at remuneration of Rs 50,000 plus applicable taxes. The quorum will follow Section 103, but shareholders present will constitute a quorum if the required quorum is absent 30 minutes after the scheduled time.
What will Mindpool shareholders receive from S A Tech?
Mindpool shareholders are proposed to receive one fully paid S A Tech equity share of face value Rs 10 for every two fully paid Mindpool equity shares of face value Rs 10 held on the record date. The November 3 order does not specify the record date, which will determine the eligible holders for the allotment.
The scheme's appointed date is April 1, 2025, and the boards of both companies originally approved the scheme on December 19, 2025. The companies subsequently approved amendments on May 15, 2026 and May 21, 2026, respectively, pursuant to observations from the National Stock Exchange of India Limited. The exchange issued its observation letter giving in-principle approval on April 6, 2026.
As of March 31, 2026, Mindpool had 42,37,500 issued, subscribed and paid-up equity shares, compared with 1,30,57,281 fully paid-up equity shares at S A Tech. Mindpool's paid-up capital was Rs 4.2375 crore against Rs 13.057281 crore for S A Tech. The proposed consideration is share-based, with the order specifying no cash consideration.
Mindpool provides information-technology-enabled solutions and digital marketing services, while S A Tech provides information and communication technology solutions across industries. The applicant companies told the tribunal that they expect the combination to bring together complementary products, services, market presence and customer segments. Their stated rationale also includes consolidation of operations and expected savings from standardized processes, elimination of duplication and rationalization of administrative expenses.

Why were creditor meetings waived in the S A Tech merger?
The tribunal dispensed with meetings of secured and unsecured creditors after considering no-objection affidavits and consent affidavits obtained by the two companies as of June 30, 2026. S A Tech had 17 consenting unsecured creditors out of 21, representing Rs 1.7953983 crore, or 96.53%, of total unsecured outstanding amounts of Rs 1.859849136 crore.
Mindpool had a lower consent percentage than S A Tech but also obtained approvals representing more than nine-tenths of unsecured balances by value. Nine of Mindpool's 14 unsecured creditors consented to the scheme, representing Rs 2.2571384 crore, or 92.40%, of total outstanding unsecured amounts of Rs 2.4426219 crore. The tribunal concluded that neither company's unsecured-creditor meeting was required.
Mindpool had one secured creditor and S A Tech had two as of June 30, 2026. The applicants submitted that each secured creditor had given a no-objection affidavit, so secured-creditor meetings were also not required. They further submitted that unsecured creditors would be paid in the ordinary course of business and that the scheme sought no sacrifice from them.
The tribunal recorded the applicants' position that the scheme was an arrangement between the companies and their shareholders under Section 230(1)(b), rather than a compromise or arrangement with unsecured creditors under Section 230(1)(a). It also recorded their submission that no investigation proceeding under Sections 210 to 227 of the Companies Act, 2013 had been instituted or was pending against either applicant company.
What steps and deadlines remain for S A Tech?
S A Tech and Mindpool must send each shareholder meeting notice, the scheme and an explanatory statement at least one month before the relevant meeting. They must also advertise the notice in Financial Express, Pune edition, in English and Loksatta, Pune edition, in Marathi, at least 30 days before the meeting. S A Tech said the date, time and other meeting details will be separately intimated to the exchange.
The chairperson must file an affidavit of compliance at least seven days before each meeting, confirming compliance with notice and advertising directions. The chairperson must then report the result of each shareholder meeting to the tribunal within seven days of its conclusion. These requirements apply separately to the two equity-holder meetings directed in the November 3 order.
The companies must also serve the scheme and notices on seven authorities: the Regional Director, Western Region; Registrar of Companies, Pune; income-tax authorities; Official Liquidator; Goods and Services Tax authorities; the National Stock Exchange of India Limited; and the Securities and Exchange Board of India. Each notified authority has 30 days from receipt of notice to make a representation to the tribunal.
If an authority does not make a representation within its 30-day window, the order says it will be presumed to have no representation on the proposal. The companies must file an affidavit proving that the regulatory notices were served. The current directions therefore move the transaction through shareholder voting and statutory-notice stages; the order does not state that the amalgamation has been implemented.
Conclusion
The November 3, 2026 order advances S A Tech's proposed amalgamation with Mindpool by requiring votes of both companies' equity shareholders while dispensing with creditor meetings. The creditor waiver rests on no-objections from the one Mindpool and two S A Tech secured creditors, alongside unsecured-creditor consent levels of 92.40% at Mindpool and 96.53% at S A Tech by value.
The next disclosed milestones are the shareholder-meeting timetable within the 90-day period, notice dispatch at least one month before voting, and newspaper advertisements at least 30 days beforehand. The record date for the one-for-two Mindpool share exchange remains undisclosed, while notified regulators have 30 days after receiving notices to submit any representations and the chairperson must report voting results within seven days of each meeting.
