How did Enviro Infra Engineers obtain control of PRA Bihar BESS?
Enviro Infra Engineers obtained control of PRA Bihar BESS through its wholly owned subsidiary, EIE Renewables Private Limited, under a Share Purchase and Options Agreement dated April 21, 2026. EIE Renewables agreed to acquire 49% of PRA Bihar BESS equity in the first phase, with the remaining 51% due within 60 days from the commercial operation date, or COD, of its Battery Energy Storage System, or BESS, project.
The agreement transferred control and substantive voting rights to EIE Renewables from its effective date of April 21, 2026, according to the filing. Enviro Infra Engineers therefore treated PRA Bihar BESS as a wholly owned subsidiary when preparing the September 30, 2026 financial statements, notwithstanding that legal transfer of the remaining shares was pending under the agreement.
The arrangement separates immediate contractual control from completion of the legal transfer of all equity. The filing does not state the BESS project capacity, expected COD, purchase price or the identity of PRA Bihar BESS’s existing shareholders, but it specifies that transfer of the remaining 51% is linked to the project reaching COD.
What was the structure of the Suyog Urja acquisition?
Enviro Infra Engineers acquired control of Suyog Urja through EIE Renewables under a Share Purchase Agreement dated April 28, 2026. The agreement provided for the immediate acquisition of 51% of Suyog Urja equity shares and the purchase of the remaining 49% at a future date, subject to the agreement’s terms and conditions.
Contractual rights and obligations under the agreement effectively transferred control of Suyog Urja to EIE Renewables from April 28, 2026, even though the initial legal ownership was 51%. Enviro Infra Engineers completed the final determination of fair values of Suyog Urja’s identified assets and liabilities during the reporting period under Indian Accounting Standard 103, or Ind AS 103, on business combinations.
Suyog Urja and PRA Bihar BESS were listed as step-down subsidiaries at September 30, 2026. Wind Earth Private Limited also became a step-down subsidiary on August 19, 2026 as a wholly owned subsidiary of Suyog Urja, extending the group structure below the acquired entity.
The filing defines the renewable-energy segment as including engineering, procurement and construction, or EPC, work, operations and maintenance, and generation and sale from group-owned Build-Own-Operate, or BOO, plants. It does not disclose Suyog Urja’s individual project pipeline, installed capacity, generation output or timing for legal transfer of the remaining 49% shares.

Conclusion
Enviro Infra Engineers’ September 2026 results establish control of two renewable-energy businesses through contracts providing immediate control while leaving portions of legal share transfers for later completion. The Rs 112.0559 crore net acquisition outflow, Rs 251.0337 crore goodwill balance and rise in renewable segment assets to Rs 647.2408 crore show the scale of the group’s reported consolidation during the half year.
The next disclosed milestone is the BESS project’s COD, after which EIE Renewables is to acquire PRA Bihar BESS’s remaining 51% within 60 days. Investors can also monitor the future transfer of Suyog Urja’s remaining 49%, plus settlement and adjustment of Suyog Urja’s Rs 18.61 crore customer advance and related Rs 9.2314 crore WIP balance.
