Why is Vijaya Diagnostics acquiring Arya Wellness Centre in Guwahati?
Vijaya Diagnostics is acquiring Arya Wellness Centre to establish its first operating platform in the Northeast, beginning with Guwahati and potentially extending across the region. Management said the business transfer agreement, or BTA, was signed during Q2 FY '27 and described the deal as a step beyond the company's existing markets.
Management said it intends to use its experience in integrated diagnostics and operating execution to develop the Guwahati platform. The call did not disclose Arya Wellness Centre's revenue, centre count, diagnostic equipment, test volumes or purchase consideration. Therefore, the disclosed information does not quantify the operating scale that the acquisition will add.
The deal differs from a new centre opening because Vijaya Diagnostics is purchasing an existing business through a BTA on a slump-sale basis. The company did not disclose the transferred assets and liabilities, the funding method, any required approvals or a specific closing date, leaving the transaction's financial terms undisclosed as of November 4, 2026.
When will Vijaya Diagnostics complete the Guwahati acquisition?
Vijaya Diagnostics expects to complete the Arya Wellness Centre transaction within two months of November 4, 2026, subject to conditions precedent under the BTA. Chief Financial Officer Narasimha Raju said the company was then completing those conditions precedent, or CPs.
Until the CPs are completed, Arya Wellness Centre is an agreed acquisition rather than an operating addition to Vijaya Diagnostics' network. The company reported Q2 FY '27 consolidated revenue of Rs 255 crore, but did not provide any revenue or profit contribution from the Guwahati business because the transaction had not closed.
The disclosed two-month timetable is the only transaction milestone provided on the call. Management did not give a date for rebranding, integration, network expansion in Assam or the launch of new hubs and spoke centres in the Northeast.
How does Guwahati compare with Vijaya Diagnostics' current footprint?
Guwahati is a new regional entry because Vijaya Diagnostics derived about 87% of Q2 FY '27 revenue from Hyderabad and the rest of Andhra Pradesh and Telangana. Hyderabad contributed 67% of consolidated revenue, while the rest of Andhra Pradesh and Telangana contributed approximately 20%.
Pune and West Bengal each accounted for 5% of quarterly revenue, while remaining geographies made up 3%. Assam and the Northeast were not identified among the company's existing revenue contributors, making the Arya Wellness Centre agreement distinct from incremental capacity additions in established markets.
Vijaya Diagnostics is also pursuing organic expansion in existing locations. It commissioned two hub centres and seven spoke centres in the first half of FY '27, including a flagship hub at JP Nagar in Bengaluru. Management expects three further hubs in the second half of FY '27 and another three in Q1 FY '28, whereas the Northeast entry begins through an acquisition.

What operating model does Vijaya Diagnostics plan to apply in Guwahati?
Vijaya Diagnostics plans to apply its integrated diagnostics model in Guwahati, combining pathology and radiology services. In Q2 FY '27, business-to-consumer, or B2C, services represented 92% of company revenue and radiology accounted for approximately 37%, while management said both segments supported growth.
Consolidated revenue rose 26.7% year on year to Rs 255 crore in Q2 FY '27, supported by 16.5% volume growth. Management attributed the balance to a favourable test mix and revised Central Government Health Scheme, or CGHS, tariffs. Revenue per test was Rs 513 and revenue per footfall was Rs 1,865 during the quarter.
Management estimated that favourable test mix contributed about 4% to 5% of quarterly revenue growth and the CGHS tariff revision contributed about 3%. It said higher-value radiology work, including computed tomography, or CT, and CT angiography, supported the mix movement. No equivalent mix, volume, realisation or margin metrics were disclosed for Arya Wellness Centre.
Vijaya Diagnostics cited developing markets when discussing its expansion record. Pune grew approximately 15.5% year on year in Q2 FY '27, while management said newer West Bengal centres were maturing and brand awareness was increasing. These examples explain management's approach to newer markets, but they do not establish a financial target or ramp-up schedule for Guwahati.
What financial capacity supports Vijaya Diagnostics' expansion plans?
Vijaya Diagnostics reported surplus cash of approximately Rs 355 crore while outlining expansion capital expenditure separate from the undisclosed Guwahati purchase price. Management said it would launch eight hub centres and 14 spokes by Q1 FY '28, requiring estimated capital expenditure, or CAPEX, of Rs 155 crore to Rs 160 crore.
Two of the eight planned hubs, including the Bengaluru flagship hub, had already been commissioned by the call date. Management expects three more to be operational by March 2027 and the remaining three in Q1 FY '28. The company had also completed seven of the 14 planned spoke centres.
Additional disclosed projects include a Rs 20 crore Panjagutta central laboratory, Rs 9 crore for Kadapa land, Rs 18 crore to Rs 20 crore for a Pune Market Yard hub and central laboratory, and Rs 19 crore for a Pune property near Mayur Colony. Management did not say whether the Arya Wellness Centre acquisition would change these projects or the planned CAPEX.
Earnings before interest, tax, depreciation and amortisation, or EBITDA, was Rs 113 crore in Q2 FY '27, compared with Rs 82 crore a year earlier. The EBITDA margin increased 350 basis points to 44.1%, while profit after tax rose 37.4% year on year to Rs 59 crore. These reported figures describe the company's financial position before any disclosed contribution from Arya Wellness Centre.
Conclusion
The Arya Wellness Centre agreement gives Vijaya Diagnostics an intended entry point into Assam and a route to assess the broader Northeast, rather than adding capacity to a current market. The distinction is material because Hyderabad and the rest of Andhra Pradesh and Telangana accounted for approximately 87% of Q2 FY '27 revenue, while management positioned Guwahati as a separate regional platform.
The next disclosed milestone is completion of the BTA conditions precedent, which management expected within two months of November 4, 2026. Investors should watch for management disclosures on the acquisition price, Arya Wellness Centre's operating scale, integration actions and any Northeast hub or spoke targets, none of which were provided on the call.
