How much will Lloyds Metals invest in TEIL?
Lloyds Metals approved a maximum cash investment of Rs 625 crore in Thriveni Earthmovers and Infra Private Limited, which is referred to as TEIL in the disclosure. The approval permits Lloyds Metals to subscribe to TEIL rights issues or further issues of capital in one or more tranches rather than requiring a single subscription.
The proposed investment is expected to be completed during financial year 2026-27. Lloyds Metals held 71.89% of TEIL’s paid-up share capital before the proposed issue, while the post-issue holding and number of shares to be acquired will be disclosed when the transaction occurs.
Lloyds Metals said TEIL’s securities would be offered uniformly to shareholders in proportion to their holdings. Although TEIL is a subsidiary and related party because of Lloyds Metals’ 71.89% holding, the company said this proportional rights issue would not be considered a related-party transaction.
What will TEIL use the Rs 625 crore for?
TEIL is expected to use the proposed Rs 625 crore for working capital, business expansion, capital expenditure, operational requirements and general corporate purposes. Lloyds Metals did not provide a division of the maximum amount between these categories, identify projects to be funded, or set a tranche-by-tranche expenditure schedule.
TEIL operates in mine development and operations, providing end-to-end contract-mining services including exploration, drilling, mining, excavation, hauling, sizing, processing and transportation of minerals. Its disclosed activities also include trading in coal, iron ore and iron ore pellets, coal production, solid-block manufacturing and mining-equipment leasing.
TEIL’s latest audited turnover was Rs 4,126.07 crore in FY 2025-26, compared with restated turnover of Rs 3,140.60 crore in FY 2024-25. Turnover therefore rose by Rs 985.47 crore, while FY 2023-24 turnover was reported as nil after TEIL’s incorporation on February 17, 2024.
How does this compare with Lloyds Metals’ September TEIL subscription?
The new Rs 625 crore ceiling is Rs 18.24 crore above Lloyds Metals’ Rs 606.76 crore subscription to TEIL’s rights issue in September 2026. The earlier subscription was completed, whereas the November 3 approval is a maximum authorisation and does not establish that the full amount will be subscribed.
On September 22, 2026, Lloyds Metals subscribed to the TEIL rights issue in the ratio of one equity share for every 20 shares held as of the August 31, 2026 record date. TEIL then allotted 3,50,00,000 equity shares to Lloyds Metals on September 29 at an issue price of Rs 173.36 per share, aggregating Rs 606.76 crore.
Lloyds Metals’ standalone cash-flow statement recorded Rs 607.97 crore of increased investment in subsidiaries during the half year ended September 30, 2026, against Rs 70 crore in the corresponding half year a year earlier. The Rs 537.97 crore increase broadly corresponds with the disclosed September TEIL subscription, while the new approval falls after that reporting period.
