What has VBL established for RTD alcohol in India?
VBL established KIVA Spirits and Company Limited as a wholly owned Indian subsidiary to conduct the business of ready-to-drink, or RTD, alcoholic beverages and allied products. The incorporation occurred during the quarter ended September 30, 2026, according to the financial-results notes approved by the board on October 30, 2026.
The filing does not identify an RTD brand, product range, manufacturing location, launch date, investment amount or sales target for KIVA Spirits. VBL says the group predominantly operates in one primary business segment, manufacturing and selling beverages, and does not report a separate RTD alcohol segment. The new entity is therefore a dedicated legal vehicle within the group’s disclosed beverage structure rather than a separately quantified operation.
VBL follows a January 1 to December 31 financial year, placing KIVA Spirits’ incorporation in the first nine months of financial year 2026. The disclosure specifies alcoholic RTD beverages and allied products, but it does not say whether the subsidiary will manufacture products itself, use third-party production or distribute through existing routes to market.
How will VBL distribute Mondelez products in Zimbabwe?
VBL will distribute specified Mondelez products exclusively in Zimbabwe through Varun Beverages (Zimbabwe) (Private) Limited from October 1, 2026. The Zimbabwe subsidiary entered into the Exclusive Distribution Agreement with Mondelez South Africa Proprietary Limited on September 24, 2026, covering chocolate, biscuits, candy and gum in the Republic of Zimbabwe.
The agreement expands the Zimbabwe subsidiary’s disclosed role beyond beverages into four Mondelez food and confectionery categories. VBL describes the arrangement as an exclusive distribution agreement, rather than a manufacturing licence, acquisition or equity investment in Mondelez. The filing does not disclose its duration, minimum volumes, consideration, revenue-sharing terms or retail channels.
During the same quarter ended September 30, 2026, Varun Beverages (Zimbabwe) incorporated Varun Beverages Holding (Zimbabwe) (Private) Limited as an investment-holding vehicle. VBL does not state that the holding company is a party to the Mondelez agreement, so the two Zimbabwe actions are disclosed as separate corporate and commercial steps.
What changed in VBL's South African beverage portfolio?
VBL's South African subsidiary, The Beverage Company Proprietary Limited, acquired 100% of Twizza Proprietary Limited during the nine months ended September 30, 2026. Twizza manufactured and distributed its own branded non-alcoholic beverages, and VBL said its consolidation was provisional from the acquisition date under Indian Accounting Standard 103, or Ind AS 103, on business combinations.
The boards of Bevco and Twizza approved a merger of Twizza into Bevco on July 2, 2026, effective August 1, 2026. Shareholding did not change because the merger was between a subsidiary and a step-down subsidiary of VBL; Twizza consequently ceased to be a step-down subsidiary after the merger.
The South African transaction differs from VBL's other category moves in form and product coverage. Twizza was a 100% acquired non-alcoholic beverage business, KIVA Spirits is an Indian vehicle intended for alcoholic RTD beverages, and the Mondelez arrangement gives the Zimbabwe subsidiary third-party distribution rights for food products. VBL provides no separate revenue or profit figures for any of these initiatives.

What is the status of VBL's Crickley Dairy proposal?
VBL's proposed purchase of 100% of Crickley Dairy Proprietary Limited remains incomplete because certain conditions precedent were not fulfilled. Bevco signed the agreement with Clark Holdings Proprietary Limited on March 17, 2026, with the stated objective of diversifying into new categories including value-added dairy-based beverages in South Africa.
The seller referred the unconsummated transaction to the Arbitration Foundation of Southern Africa during the quarter ended September 30, 2026. VBL does not disclose a hearing date, claim amount, expected resolution or whether the March 17 agreement will ultimately proceed. This leaves Crickley distinct from Twizza, which was acquired during the nine-month period.
The disclosed category initiatives consequently have different statuses: the Twizza acquisition and merger have occurred, the Mondelez distribution agreement became effective on October 1, and KIVA Spirits has been incorporated. The dairy expansion remains subject to the unresolved arbitration process, with no disclosed timetable for completion or termination.
How did VBL's financial results compare across periods?
VBL reported consolidated revenue from operations of Rs 6,815.586 crore for the three months ended September 30, 2026, up from Rs 5,112.438 crore in the restated three months ended September 30, 2025. Consolidated net profit after tax increased to Rs 830.592 crore from Rs 731.510 crore over the same comparison, while the filing does not attribute the change to KIVA Spirits or the Mondelez mandate.
For the nine months ended September 30, 2026, revenue from operations was Rs 22,371.241 crore, compared with Rs 18,101.115 crore in the restated prior-year period. Net profit after tax was Rs 3,202.298 crore, against Rs 2,772.120 crore. The prior periods were restated after VBL Industries (Kenya) Limited acquired a Kenyan business from Devyani Food Industries (Kenya) Limited effective August 1, 2026.
The Kenyan business acquisition had a purchase consideration of Rs 305 crore and was accounted for using the pooling-of-interests method because it involved entities under common control. VBL identifies India and other countries as its two principal geographical areas and states that sales are seasonal, but it does not provide segment-level earnings, capital expenditure or forecasts for the India, Zimbabwe or South Africa actions.
Conclusion
VBL's September-quarter disclosures show expansion through several mechanisms: a wholly owned Indian RTD alcohol subsidiary, exclusive Zimbabwe distribution of Mondelez food and confectionery products, and the integration of a South African non-alcoholic beverage business into Bevco. These are completed or effective actions, unlike the proposed Crickley Dairy acquisition, which did not close.
The next disclosed unresolved matter is the Arbitration Foundation of Southern Africa process over the Crickley transaction, after conditions precedent were not fulfilled during the quarter ended September 30, 2026. Further VBL disclosures would be needed to establish KIVA Spirits' product plans or commercial scale, as the October 30 filing gives no launch date, investment figure or sales target.
