Why did Awfis defer the Design and Build transfer?
Awfis deferred the transfer because procedural, administrative, operational and transition-related requirements must be addressed before the transaction can be completed. On 3 November 2026, the board reviewed the proposed sale and moved completion beyond the previously indicated end-of-calendar-year 2026 timeline.
The company had earlier extended the anticipated completion date at its board meeting on 26 February 2026, when it expected the transfer to close by the end of calendar year 2026. The 3 November disclosure does not identify individual pending tasks, but states that management is expected to complete the requirements over the next 12 months.
The planned sale was first approved by the board on 23 December 2025. Awfis entered into a Business Transfer Agreement with Awfis Transform Private Limited, which was incorporated on 3 December 2025 as Awfis's wholly owned subsidiary, to sell the Design and Build undertaking as a going concern on a slump-sale basis.
Shareholders approved the transaction through a special resolution passed by postal ballot after the 23 December 2025 board approval. The company has not disclosed a revised completion date, meaning the timing remains to be determined after the specified transition and administrative requirements are addressed.
What will Awfis receive for the Design and Build business?
Awfis will receive consideration based on an updated valuation report for the Design and Build undertaking, rather than a price confirmed at the original Rs 26.59 crore initial purchase price. The valuation reference date will be the revised date of transaction completion, according to the 3 November 2026 filing.
The original Business Transfer Agreement described Rs 26.59 crore as the Initial Purchase Price. Awfis said Awfis Transform will discharge the eventual consideration in accordance with that agreement, but the filing does not state whether the updated valuation will result in a price above, below or equal to the initial amount.
The change leaves two disclosed matters unresolved as of 3 November 2026: the completion date and the final consideration. Awfis has not named the valuer or described the valuation methodology, while stating that the updated report will be obtained in accordance with applicable laws.

How did the Design and Build undertaking perform before the delay?
Awfis reported total income of Rs 148.54 crore from the discontinued Design and Build operation in the six months ended 30 September 2026, compared with Rs 127.95 crore in the corresponding six months of 2025. Income therefore rose by Rs 20.59 crore across the two reported six-month periods.
Profit before tax from the undertaking increased to Rs 10.92 crore in the six months ended 30 September 2026 from Rs 9.81 crore a year earlier. Total expenses rose to Rs 137.62 crore from Rs 118.14 crore, an increase of Rs 19.48 crore alongside the higher income.
For the quarter ended 30 September 2026, the discontinued operation recorded income of Rs 75.16 crore and profit before tax of Rs 7.69 crore. This compared with income of Rs 73.38 crore and profit before tax of Rs 3.23 crore in the quarter ended 30 June 2026.
Awfis reported no tax expense for the discontinued operation in either six-month period, so profit after tax equalled profit before tax at Rs 10.92 crore for the six months ended 30 September 2026. For the year ended 31 March 2026, the operation reported total income of Rs 256.63 crore and profit before tax of Rs 15.89 crore.
How is Awfis reporting the delayed transaction?
Awfis continues to disclose the Design and Build undertaking as a discontinued operation under Indian Accounting Standard 105, or Ind AS 105, which covers non-current assets held for sale and discontinued operations. The classification appears in the standalone results for the quarter and six months ended 30 September 2026.
The standalone balance sheet reported assets included in a disposal group held for sale of Rs 201.96 crore at 30 September 2026, compared with Rs 177.16 crore at 31 March 2026. Liabilities included in the disposal group classified as held for sale were Rs 154.94 crore at 30 September 2026, against Rs 151.70 crore at 31 March 2026.
The filing therefore presents the Design and Build operation separately while the transfer remains unfinished. Its six-month profit after tax of Rs 10.92 crore is reported within discontinued operations, while the company completes the listed requirements and obtains the updated valuation.
Conclusion
Awfis has deferred, rather than cancelled, the transfer of its Design and Build undertaking. The 3 November 2026 decision moves completion beyond the end-2026 target, while the original Rs 26.59 crore Initial Purchase Price is no longer the disclosed basis for determining the final consideration. The undertaking remained a discontinued operation and generated Rs 148.54 crore of income in the six months ended 30 September 2026.
The next stated milestone is management's expected completion of procedural, administrative, operational and transition-related requirements within the next 12 months. Investors should watch for a revised completion date and the updated valuation report, since the filing says the revised completion date will also be the valuation reference date for the consideration payable by Awfis Transform.
