How much will M&M invest in SML’s rights issue?
M&M has approved an aggregate investment of no more than Rs 1,450 crore in SML’s proposed rights issue. The approval was granted at 2:09 p.m. on 6 November 2026, the same date on which SML disclosed that its board had approved a rights issue of equity shares aggregating up to Rs 1,450 crore.
The commitment has two parts: M&M will subscribe to its rights entitlement of about Rs 855 crore, and it may subscribe to additional shares worth up to about Rs 595 crore that remain unsubscribed beyond its entitlement. Cash will be the consideration, and the final price will be the price set by SML in its rights-issue offer document.
The approximately Rs 855 crore entitlement represents about 59% of the maximum Rs 1,450 crore commitment, while the possible additional subscription represents about 41%. This structure allows M&M to participate in its entitlement and, within the Rs 595 crore limit, take shares not subscribed by other eligible shareholders.
What does M&M’s approval mean for SML’s fund raise?
M&M’s approval means its permitted subscriptions could equal SML’s full proposed Rs 1,450 crore rights issue if shares beyond its entitlement remain unsubscribed. M&M’s filing says it may subscribe to additional equity shares, or any portion of the issue left unsubscribed, up to the Rs 595 crore limit beyond its own entitlement.
SML’s board approval covers a rights issue of equity shares rather than a debt raising. M&M’s disclosure identifies the object of its transaction as subscribing to SML’s proposed rights issue, while the filing does not state how SML intends to use the rights-issue proceeds.
The actual number of shares issued to M&M and its percentage holding after allotment are not yet known. Those outcomes will be determined when shares are allotted under the issue, including the participation level of other SML shareholders and the terms specified in the offer document.
Will M&M’s investment change control of SML?
No change in control of SML is envisaged, according to M&M’s 6 November 2026 disclosure. M&M described SML as its listed subsidiary and said the final percentage shareholding and number of equity shares acquired will be determined only upon allotment under the rights issue.
M&M’s ability to take up to Rs 595 crore of unsubscribed shares could increase its shareholding if other investors do not take their entitlement. However, the filing does not disclose the rights ratio, issue price, number of shares, M&M’s current shareholding or an estimated post-issue ownership percentage.
SML is a related party because it is M&M’s listed subsidiary. M&M stated that the proposed rights-issue investment does not constitute a related-party transaction under the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, and said promoter, promoter-group and group-company interests are limited to their respective SML shareholdings.

How has SML’s revenue changed over three years?
SML’s revenue from operations rose to Rs 2,837.92 crore in the financial year ended 31 March 2026, from Rs 2,398.99 crore in FY 2024-25. That was an increase of Rs 438.93 crore over one year, following revenue of Rs 2,195.93 crore in FY 2023-24.
Across the two-year period from FY 2023-24 to FY 2025-26, SML’s revenue increased by Rs 641.99 crore. Its net worth stood at Rs 519.34 crore as of 31 March 2026, compared with the proposed rights issue’s maximum size of Rs 1,450 crore.
SML operates in the commercial-vehicles industry, with a pan-India presence in trucks and buses. M&M said SML has a market-leading position in the intermediate and light commercial vehicle, or ILCV, buses segment, and that SML is primarily present in India while exporting to Bangladesh, Nepal, Bhutan, Ghana and Dubai.
When will M&M’s SML rights-issue investment be completed?
M&M’s investment will be completed in accordance with the issue schedule determined by SML and applicable regulatory requirements. As of the 6 November 2026 filing, no allotment date, rights ratio, record date, issue price or total number of rights shares had been disclosed by M&M.
SML was incorporated on 26 July 1983 and remains a listed subsidiary of M&M. The rights issue will be priced by SML and specified in its offer document, so the Rs 1,450 crore figure is the maximum aggregate investment approved by M&M rather than a disclosed number of shares.
No governmental or regulatory approval was listed as required for M&M’s proposed acquisition of rights shares. The stated process instead depends on SML’s issue timetable and the applicable regulatory framework, with allotment determining the final shares acquired by M&M.
Conclusion
M&M’s approval establishes a maximum Rs 1,450 crore commitment to SML’s equity raising, split between about Rs 855 crore of entitlement and up to about Rs 595 crore of further subscription. For SML, whose FY 2025-26 revenue was Rs 2,837.92 crore, the filing shows that M&M has approved participation that could cover the full announced rights issue.
The next items to watch are SML’s offer document and issue schedule, because they will set the price, rights ratio, record date and share count. Allotment will also establish M&M’s final ownership percentage, although the 6 November 2026 disclosure states that no change in SML control is envisaged.
