The Phoenix Mills Limited recognised the present value of balance consideration payable to Canada Pension Plan Investment Board, or CPP Investments, as a financial liability in its consolidated results for the half year ended 30 September 2026. The entry followed National Company Law Tribunal approval for a selective capital reduction at Island Star Mall Developers Private Limited and had a corresponding impact on CPP Investments’ non-controlling interest.

Why did Phoenix Mills recognise a CPP Investments liability?
Phoenix Mills recognised the liability after Island Star Mall Developers Private Limited, or ISMDPL, received approval from the National Company Law Tribunal, Chennai Bench, for a selective reduction of its equity share capital. The tribunal order was dated 27 October 2026 and related to the Tranche 2 payment contemplated under a Framework Agreement dated 24 July 2025.
ISMDPL is a subsidiary of Phoenix Mills, and the company said the selective capital reduction formed part of the Tranche 2 arrangement. The filing does not state the cash amount of the remaining consideration, its settlement date or CPP Investments’ ownership percentage in ISMDPL. It therefore establishes the accounting treatment but not the full commercial terms of the payment.
Phoenix Mills said it recognised the present value of the balance consideration in compliance with Indian Accounting Standards, or Ind AS. Present value is the accounting value assigned to a future obligation at the reporting date. The company did not provide a separate reconciliation of the liability’s valuation or identify the discounting assumptions used as at 30 September 2026.
How did the accounting entry change Phoenix Mills’ balance sheet?
Phoenix Mills’ consolidated balance sheet shows higher other financial liabilities and lower non-controlling interest at 30 September 2026 than at 31 March 2026. The company specifically linked the newly recognised CPP Investments financial liability to a corresponding accounting impact on CPP Investments’ non-controlling interest, but did not quantify that impact separately.
Non-current other financial liabilities rose by Rs 1,864.4848 crore over the six months, while current other financial liabilities increased by Rs 1,397.5618 crore. Non-controlling interest fell by Rs 1,154.0254 crore over the same period. These movements coincide with the disclosed accounting entry, but Phoenix Mills did not say that the Tranche 2 consideration accounted for all of either change.
Total liabilities rose by Rs 4,169.5764 crore to Rs 12,717.3773 crore, while total equity declined by Rs 3,043.3022 crore to Rs 11,261.5596 crore. Non-current borrowings also increased to Rs 5,543.7917 crore from Rs 4,704.4038 crore. Phoenix Mills did not allocate the Tranche 2 liability between borrowings and other financial liabilities beyond describing it as a financial liability.
What did Phoenix Mills disclose about CPP Investments’ interest?
Phoenix Mills identified CPP Investments as the non-controlling interest affected by the liability recognition, but did not disclose CPP Investments’ percentage holding in ISMDPL or in the consolidated group. A non-controlling interest represents the portion of a consolidated subsidiary’s equity that is not attributable to Phoenix Mills’ shareholders.
The reported non-controlling interest was Rs 2,162.2940 crore at 30 September 2026, compared with Rs 3,316.3194 crore at 31 March 2026. The filing contains no line-by-line bridge between those dates. It consequently does not establish how much of the reduction was caused by the present-value entry and how much reflected other movements at subsidiary level.
Profit attributable to non-controlling interests was Rs 101.2868 crore in the quarter ended 30 September 2026, compared with Rs 80.0961 crore in the quarter ended 30 September 2025. For the half year, the amount was Rs 198.9317 crore against Rs 160.2672 crore a year earlier. These income-statement allocations are separate from the balance-sheet impact described in the Tranche 2 note.

Phoenix Mills reported net profit after tax and share of associates of Rs 821.5070 crore for the half year ended 30 September 2026, up from Rs 704.9475 crore in the corresponding 2025 period. Total income increased to Rs 2,304.2531 crore from Rs 2,130.7175 crore, while total expenses rose to Rs 1,262.2139 crore from Rs 1,208.9688 crore.
Property and related services generated Rs 1,820.7763 crore of segment revenue in the six months, compared with Rs 1,561.1685 crore a year earlier. Hospitality services revenue rose to Rs 359.7292 crore from Rs 307.0327 crore. In contrast, residential business revenue declined to Rs 64.1024 crore from Rs 217.2639 crore, making property and related services the largest contributor to the group’s segment revenue increase.
Phoenix Mills also recorded accelerated depreciation of Rs 9.2611 crore in the half year after reassessing the useful life of part of a mall building proposed for demolition and redevelopment. The charge was Rs 4.6248 crore in the quarter ended 30 June 2026 and Rs 4.6363 crore in the quarter ended 30 September 2026. This was a separate accounting matter from the CPP Investments liability.
What approvals and group changes were disclosed?
Phoenix Mills’ board approved the unaudited consolidated results for the quarter and half year ended 30 September 2026 on 30 October 2026, after review by its audit committee. The NCLT approval for ISMDPL was dated three days earlier, on 27 October 2026, placing the approval before the results were approved.
The filing also disclosed an NCLT-approved merger and amalgamation involving six step-down subsidiaries and Astrea Real Estate Developers Private Limited. Phoenix Mills said that transaction had no impact on the consolidated results. As at 30 September 2026, the company had 37 subsidiaries and five associates, compared with the 31 subsidiaries cited in the auditors’ review information for entities whose interim results were reviewed by other auditors.
Conclusion
Phoenix Mills has accounted for the present value of the remaining Tranche 2 consideration payable to CPP Investments as a financial liability following the NCLT-approved ISMDPL capital reduction. The reported rise in other financial liabilities and decline in non-controlling interest are consistent with the entry’s stated balance-sheet effect, although the company did not disclose the liability’s standalone value or a full movement reconciliation.
The next disclosure to watch is any update on implementation of the Tranche 2 payment under the 24 July 2025 Framework Agreement, including its amount, timing and classification between current and non-current liabilities. Phoenix Mills has also disclosed a redevelopment-related depreciation charge of Rs 9.2611 crore for the half year ended 30 September 2026, with the underlying mall building proposed for demolition and redevelopment.
